1. INTRODUCTION

These Terms of Service ("Terms") govern your access to and use of the AlphaCanvas platform, website, applications, APIs, and all related services (collectively, the "Service" or "Platform") provided by 21Chains LLC, a limited liability company organized under the laws of the Commonwealth of Puerto Rico, doing business as "AlphaCanvas" ("Company," "we," "us," or "our").

These Terms are part of and incorporated into the Subscription Agreement. By accessing or using the Service, you confirm that you have accepted the Subscription Agreement and agree to these Terms. If you do not agree, do not use the Service.

Capitalized terms not defined herein have the meanings given to them in the Subscription Agreement.

2. DESCRIPTION OF THE SERVICE

2.1 What AlphaCanvas Is

AlphaCanvas is a market intelligence, research, and analysis platform for financial markets. The Platform provides:

Data Canvas -- Market Data Infrastructure: Access to aggregated market data including OHLCV (open, high, low, close, volume) across multiple timeframes, technical indicators, options chain data, alternative data, and news feeds sourced from third-party providers.
Predictive Canvas -- AI Research Engine: AI-powered analytical tools that enable users to conduct scenario modeling, generate structured research briefs, and explore market conditions using large language models. Users write natural language prompts and the Platform assembles relevant market data and routes the analysis through the user's selected LLM provider.
Harold -- AI Research Assistant: An interactive AI research assistant for market analysis discussions, scenario exploration, and data-driven Q&A, powered by the user's selected LLM provider.
Trade Canvas -- Monitoring Workspace: An observational dashboard for monitoring market positions, tracking portfolio performance, viewing price levels, and receiving analytical observations about market conditions. The Trade Canvas is a monitoring and observation tool, not a trade execution engine.
Data Injection Engine: A proprietary query system for retrieving and formatting market data across multiple timeframes and data types for use in analysis.
Research Briefs and Market Analysis: Curated and AI-generated research content delivered via the Platform and email based on your subscription tier.

2.2 What AlphaCanvas Is NOT

AlphaCanvas is NOT:

A broker-dealer registered with the SEC or any state securities authority;
A member of FINRA or SIPC;
A registered investment adviser under the Investment Advisers Act of 1940 or any state equivalent;
A fiduciary with respect to your investment or financial decisions;
A custodian of your funds or securities;
A provider of personalized investment advice, financial planning, tax advice, or legal advice;
A trade execution platform, order routing service, or order management system;
A money transmitter or payment processor;
A signal service, alert service, or trading signal generator.

AlphaCanvas does not execute, facilitate, route, or transmit trades or orders. The Platform is an informational and analytical tool. Any investment or trading decisions you make are made independently, outside the Platform, through your own brokerage accounts and at your own discretion.

2.3 User Responsibility

You are solely responsible for:

All investment and trading decisions you make, whether or not informed by Research Output from the Platform;
Evaluating the accuracy and relevance of any information, analysis, or AI output provided through the Platform;
Ensuring your activities comply with all applicable laws and regulations;
Consulting with qualified financial professionals before making investment decisions;
All financial consequences of your investment and trading activities.

3. ELIGIBILITY AND ACCOUNT TERMS

3.1 Eligibility

To use the Service, you must:

(a) Be at least 18 years of age or the age of majority in your jurisdiction;

(b) Have the legal capacity to enter into binding agreements;

(d) Not be located in a jurisdiction where use of the Service is prohibited;

(e) Not be a person or entity subject to economic sanctions administered by the U.S. Office of Foreign Assets Control ("OFAC"), the United Nations, or any other applicable sanctions authority.

3.2 Account Registration

You must create an account to access most features of the Service. You agree to:

(a) Provide accurate, current, and complete registration information;

(b) Maintain and promptly update your account information;

(d) Accept responsibility for all activities under your account;

(e) Immediately notify us at security@alphacanvas.ai if you suspect unauthorized access.

3.3 Account Termination

We may suspend or terminate your account at any time, with or without cause, with or without notice, including if we reasonably believe you have violated these Terms. Upon termination:

(a) Your license to use the Service is immediately revoked;

(b) You remain responsible for any outstanding fees;

4. ACCEPTABLE USE AND PROHIBITED CONDUCT

4.1 Acceptable Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree to use the Service only for your personal or internal business research and analysis activities.

4.2 Prohibited Conduct

You agree NOT to:

(a) Unauthorized Access: Attempt to gain unauthorized access to any part of the Service, other users' accounts, or any systems or networks connected to the Service;

(b) Circumvention: Circumvent, disable, or interfere with any security, rate-limiting, or access control features of the Service;

(c) Reverse Engineering: Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying algorithms of the Service;

(d) Scraping and Automation: Use automated tools, bots, scrapers, or similar mechanisms to access or extract data from the Service, except through officially supported APIs;

(e) Redistribution: Redistribute, resell, sublicense, or make available to third parties any market data, AI outputs, research briefs, or other content obtained through the Service without explicit written authorization;

(f) Misrepresentation: Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity;

(g) Harmful Use: Upload or transmit viruses, malware, or any code designed to interrupt, destroy, or limit the functionality of the Service;

(h) Account Sharing: Share your account credentials with any other person, or create multiple accounts to circumvent usage limits;

(i) Illegal Activity: Use the Service to facilitate any illegal activity;

(j) Excessive Load: Place unreasonable load on the Service's infrastructure or interfere with other users' ability to use the Service;

(k) Third-Party Violations: Use the Service in a manner that violates the terms of service of any connected Third-Party Service, including LLM providers;

(l) Mischaracterization: Represent or imply that Research Output from the Platform constitutes investment advice, professional financial guidance, or a solicitation to buy or sell securities.

4.3 Enforcement

We reserve the right to investigate and take appropriate action against any violation of this Section 4, including suspending or terminating your account, removing content, and pursuing legal remedies.

5. THIRD-PARTY SERVICES AND INTEGRATIONS

5.1 LLM Provider Integrations

The Platform integrates with third-party LLM providers, which may include Anthropic (Claude), OpenAI (GPT), xAI (Grok), and others. When you use AI-powered features:

(a) Your inputs (prompts, market data context) may be transmitted to these providers for processing;

(b) You provide your own API keys for these services (BYOK model);

(d) AlphaCanvas is not responsible for the outputs, availability, pricing, or data practices of LLM providers;

(e) AI outputs are generated by third-party models and are not endorsed, verified, or guaranteed by AlphaCanvas.

5.2 Market Data Providers

Market data displayed on the Platform is sourced from third-party providers and exchanges. This data:

(a) Is provided on an "as-is" basis and may be delayed, inaccurate, or incomplete;

(b) May not reflect real-time market conditions;

(d) May not be redistributed, resold, or used for non-display purposes without separate authorization from the data provider;

(e) Should not be the sole basis for any investment or trading decision.

5.3 No Third-Party Liability

AlphaCanvas shall have no liability for any acts, omissions, errors, outages, data breaches, or failures of any Third-Party Service, including but not limited to LLM providers, market data providers, payment processors, and hosting services.

6. INTELLECTUAL PROPERTY

6.1 AlphaCanvas Intellectual Property

The Service, including all software, algorithms, code, interfaces, designs, documentation, trademarks, trade names, logos, and proprietary methodologies (including but not limited to the Data Injection Engine, analytical workflows, and research frameworks), is the exclusive property of 21Chains LLC and is protected by intellectual property laws. Nothing in these Terms grants you any right, title, or interest in our intellectual property except the limited license to use the Service as described herein.

6.2 License to Use the Service

Subject to your compliance with these Terms and the Subscription Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service during your active subscription period, solely for your personal or internal business purposes.

6.3 User Content

You retain ownership of User Content you create, including research queries, custom configurations, and analysis notes. However, by submitting User Content to the Platform, you grant the Company a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, process, and display your User Content solely for the purposes of:

(a) Operating, maintaining, and improving the Service;

(b) Providing the Service to you;

This license survives termination of your account with respect to aggregated, de-identified, or anonymized data derived from your User Content.

6.4 Feedback

Any feedback, suggestions, ideas, or recommendations you provide regarding the Service ("Feedback") shall be the property of the Company. You hereby assign to the Company all right, title, and interest in such Feedback, and the Company may use Feedback for any purpose without obligation or compensation to you.

6.5 DMCA and Takedown Requests

If you believe that content on the Platform infringes your copyright, please send a DMCA takedown notice to legal@alphacanvas.ai.

7. MARKET DATA TERMS

7.1 Data Accuracy

Market data provided through the Platform, including prices, volumes, technical indicators, options data, and alternative data, is provided for informational purposes only. The Company does not warrant the accuracy, completeness, reliability, or timeliness of any market data.

7.2 Not Real-Time

Unless explicitly labeled otherwise, market data may be delayed. Real-time data availability depends on your subscription tier, data provider agreements, and exchange-imposed restrictions.

7.3 Non-Display Use Restrictions

Market data obtained through the Platform is for your personal display and analysis use only. You may not use market data for:

(a) Redistribution to third parties;

(b) Creating derivative data products for commercial sale;

7.4 Exchange Agreements

Certain market data features may require you to agree to subscriber agreements with data exchanges (e.g., NASDAQ, NYSE). If required, these agreements will be presented to you within the Platform.

8. AI AND RESEARCH FEATURES

8.1 Nature of Research Output

All Research Output on the Platform, including AI-generated analysis, scenario models, research briefs, market commentary, and analytical observations, is produced for informational and educational purposes only. Research Output:

(a) Is NOT investment advice, financial advice, or a personalized recommendation;

(b) Is NOT tailored to your individual financial situation, objectives, or risk tolerance;

(d) Is based on historical data and statistical patterns that may not reflect current or future market conditions;

(e) Should be independently verified before being relied upon for any purpose.

8.2 Scenario Modeling

The Platform provides scenario modeling tools that allow users to explore hypothetical market scenarios and analytical frameworks. Scenario models:

(a) Are analytical explorations of potential market conditions, not predictions or forecasts;

(b) Are based on assumptions, historical data, and mathematical models that may not hold in practice;

(d) Should not be interpreted as recommendations to take any specific investment action.

8.3 No Guarantee of Accuracy

The Company makes no representation or warranty regarding the accuracy, completeness, reliability, or fitness for any purpose of any Research Output.

8.4 User Responsibility

You are solely responsible for evaluating Research Output and deciding whether and how to use it in your own analysis. The Company does not endorse, verify, or adopt any AI-generated analysis as its own opinion or recommendation.

9. MONITORING WORKSPACE

9.1 Observational Tool

The Trade Canvas monitoring workspace is an observational and informational tool. It provides:

(a) Market data displays, price tracking, and chart visualization;

(b) Portfolio and position monitoring through user-entered or synced data;

(d) Performance tracking and historical data visualization.

9.2 Not a Trading Platform

The monitoring workspace does not:

(a) Execute, route, transmit, or facilitate trades or orders;

(b) Connect to brokerage accounts for the purpose of trade execution;

(d) Provide personalized recommendations about what actions to take with respect to any position or investment.

9.3 Analytical Observations

The monitoring workspace may display AI-generated analytical observations about market data and conditions (e.g., noting that a price level has been reached, that an indicator has changed value, or that volatility has shifted). These observations are factual descriptions of market data, not recommendations or advice to take any action. You are solely responsible for interpreting these observations and deciding what, if anything, to do.

10. PAYMENT AND BILLING

10.1 Fees

Subscription fees for paid tiers are as described on the Platform's pricing page. The Company reserves the right to modify pricing with at least thirty (30) days' notice.

10.2 Payment Method

You authorize us to charge the payment method on file for all applicable fees.

10.3 Failed Payments

If a payment fails, we may suspend access to paid features until payment is received.

10.4 Refunds

Subscription fees are generally non-refundable. Refund requests may be considered on a case-by-case basis at the Company's sole discretion. To request a refund, contact billing@alphacanvas.ai.

10.5 Free Tier

The Free tier is provided at the Company's discretion and may be modified, limited, or discontinued at any time.

11. PRIVACY AND DATA

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference.

12. DISCLAIMER OF WARRANTIES

THE SERVICE AND ALL CONTENT, FEATURES, AI OUTPUTS, RESEARCH OUTPUT, MARKET DATA, AND RELATED SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, AND AVAILABILITY.

13. LIMITATION OF LIABILITY

THE LIMITATION OF LIABILITY AND EXCLUSION OF DAMAGES PROVISIONS SET FORTH IN THE SUBSCRIPTION AGREEMENT (SECTION 11) ARE INCORPORATED HEREIN BY REFERENCE.

14. INDEMNIFICATION

THE INDEMNIFICATION PROVISIONS SET FORTH IN THE SUBSCRIPTION AGREEMENT (SECTION 12) ARE INCORPORATED HEREIN BY REFERENCE.

15. DISPUTE RESOLUTION

All disputes arising under or in connection with these Terms shall be resolved in accordance with the Subscription Agreement (Section 13).

16. GENERAL PROVISIONS

16.1 Entire Agreement

These Terms, together with the Subscription Agreement and all incorporated documents, constitute the entire agreement between you and the Company regarding the Service.

16.2 Severability

If any provision is found unenforceable, it shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force.

16.3 Governing Law

These Terms are governed by the laws of the Commonwealth of Puerto Rico, as set forth in the Subscription Agreement (Section 14).

16.4 Export Controls

You represent and warrant that you are not located in, or a citizen or resident of, any country subject to comprehensive U.S. economic sanctions.

16.5 Modifications

We may modify these Terms at any time. Material changes will be communicated via email or through the Platform at least thirty (30) days before taking effect.

16.6 Survival

Sections 2.2, 4, 5.3, 6, 8, 9.2, 12, 13, 14, 15, and this Section 16 shall survive termination.
